These Terms of Service (“Terms”) govern your access to and use of the Factor0x website, platform, interface, marketplace, dashboards, forms, smart-contract related features and related services collectively referred to as the “Platform”.
By accessing or using the Platform, you agree to these Terms. If you do not agree, you should not use the Platform.
1. About Factor0x
Factor0x is a platform for financing verified B2B invoices and trade receivables.
The Platform may allow eligible businesses to submit invoices for review and may allow eligible investors or liquidity providers to review and participate in invoice-backed opportunities.
Factor0x may provide technology, onboarding, verification, reporting, coordination, risk information, marketplace access and Web3 transparency tools.
Factor0x does not guarantee repayment, returns, liquidity, investment performance or the availability of any specific transaction.
2. Eligibility
You may use the Platform only if you:
- are legally able to enter into these Terms;
- are not prohibited from using the Platform under applicable laws;
- are not located in a restricted jurisdiction;
- pass any required KYC, KYB, AML, sanctions, source of funds, source of wealth or wallet screening checks;
- provide accurate and complete information when requested.
Factor0x may restrict, suspend or terminate access to the Platform at any time if eligibility requirements are not met.
3. No Financial, Legal or Investment Advice
Information on the Platform is provided for general informational purposes only.
Nothing on the Platform constitutes:
- financial advice;
- legal advice;
- tax advice;
- investment advice;
- a recommendation to invest;
- a guarantee of return;
- an offer to sell securities or regulated financial products, unless expressly stated in legally approved documentation.
Users should conduct their own review and consult professional advisors before participating in any transaction.
4. Invoice-Backed Opportunities
Invoice-backed opportunities shown on the Platform may include information such as:
- invoice amount;
- funding amount;
- expected maturity;
- target APR;
- debtor / obligor information;
- risk tier;
- verification status;
- funding progress;
- repayment status.
This information may be based on documents, data, representations from businesses, third-party verification or internal risk review.
Factor0x aims to provide transparent information, but does not guarantee that all information will be complete, accurate, current or free from error.
5. Investor Participation
Eligible investors may be able to participate in invoice-backed opportunities through fiat, USDT, USDC or other supported assets, depending on the specific transaction and applicable compliance requirements.
By participating, investors acknowledge that:
- returns are not guaranteed;
- repayment depends on debtor payment and transaction performance;
- payment delays may occur;
- default may occur;
- liquidity may be limited;
- participation may be subject to legal, regulatory and compliance restrictions;
- smart contract and stablecoin risks may apply.
Any displayed APR, yield, repayment date or return estimate is indicative or target-based unless expressly stated otherwise in legally approved transaction documents.
6. Business / Borrower Applications
Businesses applying for financing must provide accurate and complete information, including where required:
- company information;
- registration documents;
- invoice documents;
- contracts or purchase orders;
- delivery or service completion evidence;
- debtor information;
- bank or payment details;
- ownership and authorized signatory information.
Factor0x may reject, pause or request additional information for any application.
Submission of an invoice does not guarantee approval, listing, funding or financing.
7. Verification and Risk Review
Factor0x may conduct or coordinate verification and risk review processes, including:
- KYB checks;
- debtor / obligor review;
- invoice verification;
- document review;
- sanctions screening;
- adverse media screening;
- wallet screening;
- risk tier assignment.
Risk tiers, verification badges or review statuses are internal indicators and should not be treated as guarantees of repayment, legal enforceability or investment performance.
8. Web3 and Wallet Use
The Platform may allow users to connect digital wallets or interact with blockchain-based features.
Users are solely responsible for:
- securing their wallets;
- protecting private keys and seed phrases;
- verifying transactions before signing;
- paying gas fees or network fees;
- understanding blockchain transaction risks.
Factor0x is not responsible for losses caused by compromised wallets, user error, phishing, malware, incorrect wallet addresses or irreversible blockchain transactions.
9. Smart Contracts and On-Chain Records
The Platform may use smart contracts or on-chain records for tracking participation, transaction status, document hashes, distributions or other platform-related events.
Users acknowledge that:
- smart contracts may contain bugs or vulnerabilities;
- blockchain networks may experience congestion, outages or forks;
- on-chain records may be public and permanent;
- transaction execution may be delayed or fail;
- third-party wallets, RPC providers, bridges or networks may create additional risks.
Factor0x does not guarantee uninterrupted blockchain functionality.
10. Stablecoin and Crypto Risks
Where USDT, USDC or other crypto assets are used, users acknowledge risks including:
- depeg risk;
- issuer risk;
- custody risk;
- transfer risk;
- regulatory risk;
- liquidity risk;
- exchange or OTC provider risk;
- blockchain network risk.
Factor0x does not guarantee the value, stability, convertibility or availability of any crypto asset.
11. Compliance
Users agree to comply with all applicable laws, regulations and platform requirements.
Factor0x may request information or documents for:
- KYC / KYB;
- AML review;
- sanctions screening;
- source of funds;
- source of wealth;
- wallet screening;
- tax or regulatory purposes.
Factor0x may refuse service, freeze platform access, cancel participation or report activity if required by law, compliance policies or risk controls.
12. Prohibited Activities
Users must not:
- provide false or misleading information;
- submit fake, disputed, duplicated or already financed invoices;
- use the Platform for fraud, money laundering, sanctions evasion or illegal activity;
- interfere with platform security;
- exploit bugs or smart contract vulnerabilities;
- attempt unauthorized access;
- manipulate transaction data;
- impersonate another person or entity;
- use the Platform from a restricted jurisdiction.
Factor0x may take action against any prohibited activity, including suspension, termination and reporting to relevant parties.
13. Platform Availability
Factor0x may update, suspend, modify or discontinue any part of the Platform at any time.
The Platform may be unavailable due to maintenance, technical issues, third-party service failures, blockchain network issues or other reasons.
Factor0x does not guarantee uninterrupted, error-free or continuous access.
14. Fees
Factor0x may charge platform, origination, servicing, transaction, conversion, administrative or other fees.
Applicable fees may vary by transaction and may be disclosed in the relevant deal terms, dashboard, confirmation screen or transaction documents.
Users are responsible for reviewing applicable fees before participating.
15. Third-Party Services
The Platform may integrate or rely on third-party services, including:
- wallets;
- blockchain networks;
- KYC / KYB providers;
- AML providers;
- wallet screening tools;
- banks;
- OTC providers;
- VASPs;
- custodians;
- payment providers;
- data providers;
- cloud and infrastructure services.
Factor0x is not responsible for third-party service failures, delays, errors, security incidents or terms.
16. Intellectual Property
All content, branding, design, software, interface elements, logos, text, graphics, data structures and platform materials are owned by Factor0x or its licensors.
Users may not copy, reproduce, modify, distribute, reverse engineer or exploit any part of the Platform without permission.
17. User Content and Documents
Users may upload documents, files, data or other materials to the Platform.
By submitting content, users represent that:
- they have the right to provide it;
- the information is accurate;
- the content does not violate laws or third-party rights;
- Factor0x may use it for review, verification, compliance, transaction processing and platform operations.
Factor0x may remove or restrict content at its discretion.
18. Confidentiality
Some information available on the Platform may be confidential, including borrower data, invoice details, transaction documents, risk materials, investor information and platform records.
Users must not disclose confidential information unless authorized or legally required.
19. Disclaimers
The Platform is provided on an “as is” and “as available” basis.
Factor0x disclaims all warranties to the maximum extent permitted by law, including warranties of:
- merchantability;
- fitness for a particular purpose;
- non-infringement;
- accuracy;
- availability;
- security;
- profitability;
- repayment;
- investment performance.
20. Limitation of Liability
To the maximum extent permitted by law, Factor0x shall not be liable for:
- loss of profits;
- loss of revenue;
- loss of opportunity;
- loss of data;
- loss of crypto assets;
- business interruption;
- indirect, incidental, special or consequential damages;
- losses caused by third-party providers;
- losses caused by smart contracts, wallets or blockchain networks;
- losses caused by borrower default, debtor non-payment or delayed repayment.
Users participate at their own risk.
21. Indemnification
Users agree to indemnify and hold Factor0x harmless from claims, damages, losses, liabilities, costs or expenses arising from:
- breach of these Terms;
- misuse of the Platform;
- false or misleading information;
- violation of law;
- infringement of third-party rights;
- fraudulent or prohibited activity.
22. Suspension and Termination
Factor0x may suspend or terminate access to the Platform if:
- a user breaches these Terms;
- required checks are not completed;
- compliance concerns arise;
- suspicious activity is detected;
- required by law, regulation or risk policy;
- continued access may create legal, financial, security or reputational risk.
23. Changes to These Terms
Factor0x may update these Terms from time to time.
Updated Terms will become effective when posted on the website or platform, unless stated otherwise.
Continued use of the Platform after updates means you accept the revised Terms.
24. Governing Law and Dispute Resolution
The governing law and dispute resolution forum will be determined by the final legal structure, operating entity and applicable transaction documents.
Until the final structure is confirmed, these Terms should be treated as a draft framework and not as final legal documentation.
25. Final Notes
Participation in invoice-backed opportunities involves risk. Users should carefully review all available information, transaction documents and risk disclosures before using the Platform or participating in any transaction.
